“De conformidad con lo dispuesto en el artículo 10 del Real Decreto-Ley 5/2023, de 28 de junio por el que se aprueba, entre otras materias, la nueva ley en materia de modificaciones estructurales, se hacen públicos los siguientes acuerdos adoptados por unanimidad por los socios en la Junta Universal de socios de la sociedad JENS MULLER ORTHOPEDIC PROFESIONAL CONSULTING, S.L. celebrada el 24 de mayo de 2024: Por decisión unánime los socios de la mercantil «JENS MULLERORTHOPEDIC PROFESIONAL CONSULTING, S.L.» (sociedad escindida) acordaron la aprobación de la escisión por segregación de la rama de actividad consistente en la actividad inmobiliaria y la segregación de una parte del patrimonio para su atribución a la sociedad «EDGELIVING HOMES, S.L.» (sociedad beneficiaria). La sociedad beneficiaria asume el conjunto de bienes, derechos y obligaciones contenidos en el PROYECTO DE ESCISIÓN POR SEGREGACIÓN de fecha 23 de mayo de 2024, elaborado por el Administrador único de la sociedad parcialmente escindida, cumpliendo con lo establecido en el artículo 4 y 64 del Real Decreto-Ley5/ 2023, de 28 de junio, y que fue también aprobado por unanimidad en la Junta Universal de socios de 24 de mayo de 2024. Se pone de manifiesto que a la presente escisión le resulta de aplicación el procedimiento simplificado previsto en el artículo 9 y 71.1 del Real Decreto Ley 5/2023, de 28 de junio, primero por ser adoptado el acuerdo de escisión parcial por unanimidad de todos los socios con derecho a voto y segundo, por cuanto que todas las participaciones sociales de la Sociedad Beneficiaria se atribuyeron a los socios de la Sociedad Escindida proporcionalmente a los derechos que tienen en el capital social de la Sociedad Escindida. De manera que no es necesario: (i) el informe de los administradores sobre el proyecto de escisión; (ii) ni el informe de expertos independientes (el cual tampoco era necesario tratándose ambas sociedades mercantiles de tipo sociedades limitadas). No obstante, se incorporará en su integridad en la escritura pública de escisión por segregación el Proyecto de escisión y los balances de escisión. Conforme al artículo 10 del Real Decreto-Ley 5/ 2023, de 28 de junio Los socios y acreedores de la sociedad escindida tienen el derecho de obtener el texto íntegro del acuerdo adoptado y el balance de la sociedad escindida solicitándolo por email a jensmuller@hotmail.com.”
